1 Our services
1.1 NZF Learn is an online platform owned and operated by Oceania Football Confederation (“OFC”). OFC has granted New Zealand Football Incorporated (“NZF”, “we”, “us” and “our”) a license to use NZF Learn for purposes of delivery of training programs and e-learning to members of NZF, who sign up to NZF Learn.
1.2 Your use of NZF Learn and related services is governed by these Terms of Use, and by accessing or using NZF Learn you, as a user, agree to be bound by the terms contained herein. NZF Learn makes available education, qualification management and support information services (“Services”), including the following:
2 Access and Use of NZF Learn/Privacy
2.1 You may access NZF Learn once you have registered, and we have issued you your login credentials.
2.2 When using NZF Learn you must comply with OFC’s Acceptable Use Policy. The Acceptable Use Policy shall apply to these Terms of Use, with necessary changes as if the Acceptable Use Policy terms were set out in these Terms of Use and OFC and OFC Learn were NZF and NZF Learn under these Terms of Use. 2.3 If you are under the age of 18, you may access NZF Learn only if you have your parent’s or guardian’s consent.
2.4 We may require you to provide us with certain information before we can complete your NZF Learn registration. We will always deal with your personal information in accordance with applicable privacy law and our NZF Privacy Policy. By submitting your personal information to us, or by otherwise using NZF Learn, you consent to our collection and use of personal data as outlined in our NZF Privacy Policy.
On the basis that OFC is the owner and operator of NZF Learn and provides NZF the license for NZF Learn, OFC will also have access to your personal information, for the purposes of providing NZF the license to NZF Learn.
2.5 You must notify us if any of your information provided to us changes. You must not share your account or password with anyone and you are fully responsible for all use of your account.
2.6 The use of NZF Learn is solely for your personal use and non- commercial use. With your access to NZF Learn we grant you a limited, non- exclusive, non-transferable, licence to access the online resources and content made available by us on NZF Learn.
2.7 We may revoke your licence at any time at our sole discretion. Upon revocation, you must promptly destroy all content downloaded or otherwise obtained through the service, as well as copies of such materials.
3 Access Fee
3.1 We may charge you a fee to access NZF Learn. Additional fees may be payable for certain Services on NZF Learn, such as online courses, webinars or video tutorials. All fees are payable by you prior to accessing NZF Learn or the corresponding Services.
3.2 Payment can be paid securely online via our payment page using a third-party payment provider. NZF does not have access to your payment details.
3.3 All purchases are non-transferable and once purchased only that user will have the right to access that service.

3.5 Unless otherwise stated all prices are stated in New Zealand dollars and are exclusive of taxes (including goods and services taxes or similar charges in your jurisdiction). You are solely responsible for taxes payable.
4 Use of Cookies
4.1 NZF Learn may use “cookies” to help us identify you when you use our website or to help us improve your experience when using the services. If you do not accept our cookies, some pages may not operate as intended and you may not be able to access certain information on our website.
5 Intellectual Property
5.1 OFC is the owner or the licensee of all intellectual property rights in respect of NZF Learn platform, NZF is the owner or the licensee of the material published by NZF on NZF Learn or as otherwise made available you in connection with the Services. NZF may also publish material from OFC with its prior consent or material that NZF and OFC have created together having obtained prior consent from OFC. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
5.2 You may print off one copy of any resource that you have validly accessed, and you may download permitted resources solely for your personal use.

6 Liability
6.1 You acknowledge that the content and resources provided as part of the Services may not be provided by NZF but may be from a number of third-party sources. Although we make reasonable efforts to update the information on NZF Learn you understand that errors can occur, or information may change over time. NZF Learn is provided on an “as-is” and “as-available” basis and we may suspend access to NZF Learn, or close it indefinitely, at any time. We will not be liable to you if for any reason our site is unavailable at any time or for any period.
6.2 To the extent permitted by law, and except as otherwise provided for in these Terms of Use, we make no representations, conditions or warranties of any kind with respect to NZF Learn and the Services. We make no representation as to the accuracy, completeness, or reliability of the information provided in connection with the Services and are not liable for any:
6.3 To the fullest extent permitted by law, NZF will not be liable in contract, tort (including negligence) or otherwise to you for any direct, indirect, or consequential loss or damage arising out of or in connection with the Services, including (without limitation) loss or damage you might suffer.
7 Disclaimer of Warranties
7.1 NZF Learn is provided on a “as is” and “as available” basis. We make no warranty that your use of NZF Learn will be uninterrupted, timely, secure, or error-free, or that the Services will be accurate, complete, or fit for your intended purpose.
7.2 To the extent permitted by law, and except as otherwise provided for in these Terms of Use, we make no representations, conditions or warranties of any kind.
8 Indemnity
8.1 You shall indemnify, and hold harmless, NZF, its agents, affiliates, directors, officers and employees from and against any and all third-party claims, liabilities, losses and expenses (including actual legal costs), arising out of or in connection with your use of NZF Learn and reliance on the Services.
9 General
9.1 These Terms of Use constitute the entire agreement between you and us with respect to your use of our Services.
9.2 Regardless of where you are in the world, these Terms of Use are governed by and to be interpreted in accordance with the laws of New Zealand. You and we agree to the non-exclusive jurisdiction of the New Zealand courts.
9.3 We may amend these Terms of Use from time to time and will notify you of any changes by posting an updated version on NZF Learn website. It is your responsibility to check periodically for any updates and your continued use of the Services following any such changes constitutes acceptance of the Terms of Use as amended. If you do not agree to any amendments to the Terms of Use, you must tell us and immediately cease all use of NZF Learn and the Services.
9.4 Any delay or failure to enforce our rights under these Terms of Use does not mean we have waived those rights.
